Introduction

Welcome to JF WebDesign. These Terms of Service (“Terms”) govern your access to and use of the websites, services, software, platforms, and other products provided by JF WebDesign, including BasalHub, our social media management and artificial intelligence platform.

JF WebDesign is a sole proprietorship based in San Diego County, California, United States.

Throughout these Terms, “JF WebDesign,” “we,” “us,” and “our” refer to the business operating JF WebDesign and BasalHub. “You” and “your” refer to individuals, businesses, organizations, and other entities accessing or using our services.

By accessing our websites, creating an account, connecting third-party services, purchasing services, or using BasalHub, you agree to these Terms.

If you do not agree to these Terms, you should not access or use the applicable services.

1. JF WebDesign Services

JF WebDesign provides professional digital services, including:

Website design and development
WordPress development and customization
Website hosting and hosting-related services
Website maintenance, monitoring, and support
Website performance and security-related services
Search engine optimization and digital consulting
Social media management and content services
Software development and technology solutions
Artificial intelligence-assisted digital services
Other related services offered by JF WebDesign

The scope, pricing, deliverables, timelines, and responsibilities associated with individual projects may be established through separate proposals, estimates, statements of work, invoices, subscriptions, or written agreements.

Where a separate written agreement conflicts with these Terms, the more specific agreement will govern the applicable services.

2. BasalHub Platform

BasalHub is a social media management, content planning, and artificial intelligence-assisted platform developed and operated by JF WebDesign.

BasalHub may provide functionality that allows authorized users to:

Connect supported social media platforms and third-party services
Manage social media accounts and client profiles
Create and maintain brand profiles and brand guidelines
Develop social media strategies, plans, and campaigns
Generate content ideas, captions, and recommendations using artificial intelligence
Create, edit, organize, approve, schedule, and publish content
Upload, organize, and manage images, videos, documents, and other digital assets
Review social media performance and engagement information
Access reporting, analytics, and account-management features
Collaborate with authorized users and manage content workflows
Perform other supported social media management activities

BasalHub features may vary depending on subscription level, account permissions, third-party integrations, API availability, and technical limitations.

JF WebDesign may add, modify, restrict, or discontinue features as the platform evolves.

3. Account Registration and Responsibilities

Certain services, including BasalHub, may require users to create an account.

You agree to provide accurate, complete, and current registration information.

You are responsible for:

Maintaining the confidentiality of your login credentials
Using appropriate account security practices
Restricting unauthorized access to your account
Managing authorized users and permissions
Ensuring that individuals accessing your account are permitted to do so
Promptly notifying JF WebDesign of suspected unauthorized access or security incidents

You are responsible for activity conducted through your account to the extent permitted by applicable law.

If you register or use an account on behalf of a business, organization, or client, you represent that you have the authority to accept these Terms and manage the applicable services on its behalf.

4. Third-Party Social Media Integrations

BasalHub may integrate with third-party services, including Facebook, Instagram, X, TikTok, Google, and other supported platforms.

By connecting a third-party account, you represent and warrant that you own the account or have authorization to access and manage it.

You authorize BasalHub to access, receive, process, store, and transmit information associated with connected accounts as reasonably necessary to provide the features you request and authorize.

This may include:

Account identification and profile information
Connected pages and social media accounts
Content and publishing information
Media assets
Available audience and engagement information
Analytics and performance metrics
Authentication tokens and authorized permissions
Other information made available through approved third-party integrations

Connecting an account does not transfer ownership of that account to JF WebDesign.

Third-party platforms operate independently and maintain their own terms, policies, permissions, and technical requirements.

JF WebDesign is not responsible for third-party changes that affect platform integrations, including API restrictions, permission changes, rate limits, service outages, account suspensions, or discontinued functionality.

5. Authorization to Publish Content

When you connect a social media account and authorize BasalHub to publish or schedule content, you grant JF WebDesign and BasalHub permission to perform the authorized actions on your behalf.

Depending on the features and settings available, these actions may include:

Creating or preparing content
Uploading media
Scheduling posts
Publishing approved content
Retrieving publication status
Updating supported content information
Performing other explicitly authorized account actions

You remain responsible for ensuring that content published through your accounts is accurate, appropriate, lawful, and compliant with applicable third-party platform policies.

Where BasalHub provides an approval workflow, you are responsible for reviewing and approving content before publication.

If you enable automatic publishing or other automated functionality, you acknowledge that authorized actions may occur without additional manual approval immediately before execution.

JF WebDesign does not guarantee that scheduled content will publish at an exact time or that third-party platforms will successfully accept every publishing request.

6. Artificial Intelligence Features

BasalHub may incorporate artificial intelligence technologies to assist with content creation, strategy development, analysis, recommendations, and other platform functionality.

AI-generated content may include text, ideas, recommendations, summaries, graphics, or other materials.

You acknowledge that:

AI-generated content may contain inaccuracies, errors, or omissions.
AI-generated information may not reflect current events or the latest available information.
AI-generated content may resemble content produced for other users.
AI-generated material may require editing or verification before publication.
AI-generated output is not guaranteed to be original, copyrightable, legally compliant, or appropriate for every audience.
AI-generated recommendations do not guarantee business or social media performance.

You are responsible for reviewing and approving AI-assisted content before publication, except where you have expressly enabled an authorized automated workflow.

JF WebDesign does not guarantee the accuracy, originality, completeness, or suitability of AI-generated output.

7. User Content and Digital Assets

You retain ownership of content and materials you provide to JF WebDesign or upload to BasalHub, subject to the rights of applicable third parties.

User Content may include:

Photographs and videos
Logos and brand materials
Graphics and illustrations
Documents and marketing materials
Written content and captions
Social media assets
Campaign information
Other uploaded or submitted materials

You grant JF WebDesign a limited, non-exclusive, worldwide license to host, store, reproduce, process, modify, transmit, and display User Content solely as reasonably necessary to provide, maintain, secure, and support the services you request.

This license does not transfer ownership of User Content to JF WebDesign.

You represent that you have the rights, licenses, permissions, and authorizations necessary to upload, use, distribute, and publish your User Content.

You are responsible for ensuring that your content does not violate applicable laws or infringe the intellectual property or other rights of third parties.

8. Intellectual Property

JF WebDesign retains ownership of its proprietary intellectual property, including its websites, software, systems, designs, code, documentation, branding, processes, and technology.

BasalHub, including its software, interface, workflows, platform architecture, branding, and proprietary functionality, is owned by JF WebDesign or its applicable licensors.

Except where expressly permitted by written agreement or applicable law, you may not:

Copy or reproduce proprietary software
Reverse engineer or decompile BasalHub
Attempt to access or extract proprietary source code
Resell or sublicense unauthorized access to the platform
Remove copyright or proprietary notices
Reproduce or distribute proprietary platform materials without authorization

Ownership and licensing of custom website designs, software, or other deliverables created for JF WebDesign clients may be governed by the applicable project agreement.

9. Acceptable Use

You agree to use JF WebDesign services and BasalHub only for lawful and authorized purposes.

You may not use our services to:

Violate applicable laws or regulations
Infringe copyrights, trademarks, privacy rights, or other legal rights
Publish content without appropriate authorization
Distribute malware, viruses, or malicious software
Attempt unauthorized access to accounts, networks, or systems
Circumvent security protections, authentication systems, or API restrictions
Engage in fraudulent, deceptive, or unlawful activity
Impersonate another person or organization without authorization
Distribute unlawful spam or abusive content
Interfere with the security or operation of our services
Misuse third-party integrations or connected accounts
Exceed or intentionally circumvent service usage limitations
Use the platform in a manner that creates unreasonable security, legal, or operational risks

JF WebDesign reserves the right to restrict, suspend, or terminate access when reasonably necessary to address violations, protect users, maintain service security, or comply with applicable law.

10. Fees, Subscriptions, and Billing

Certain JF WebDesign and BasalHub services require payment.

Fees, subscription plans, included features, service limits, and billing periods will be presented during purchase or specified in an applicable proposal, agreement, or invoice.

Unless otherwise stated, prices are expressed in U.S. dollars.

BasalHub subscriptions may be billed on a recurring monthly or other agreed-upon basis.

By purchasing a recurring subscription, you authorize the applicable payment method to be charged according to the subscription terms disclosed at purchase.

Subscriptions may automatically renew unless canceled before the applicable renewal date.

Customers are responsible for applicable taxes and fees, excluding taxes imposed directly on JF WebDesign’s income.

JF WebDesign may modify pricing, subscription offerings, or included features. Existing subscribers will receive advance notice of price changes when required by applicable law.

11. Cancellation and Refunds

Customers may cancel subscriptions according to the cancellation procedures provided through their account or applicable service agreement.

Unless otherwise stated in writing:

Cancellation prevents future subscription renewals.
Cancellation does not automatically entitle the customer to a refund for a billing period already paid.
Access to paid features may continue through the end of the current paid billing period.
Fees for completed services are generally nonrefundable, except where required by law or otherwise agreed.
Outstanding balances for services already provided remain payable.

Separate website development, hosting, maintenance, or consulting agreements may contain additional cancellation and payment terms.

Nothing in this section limits rights or remedies that cannot legally be waived.

12. Suspension and Termination

JF WebDesign may suspend or terminate access to services for reasons including:

Failure to pay applicable fees
Material violations of these Terms
Unauthorized or fraudulent activity
Security threats or attempted system compromise
Misuse of third-party integrations
Legal or regulatory requirements
Actions that materially threaten the stability or security of our services

Where reasonably practicable, we may provide notice and an opportunity to resolve an issue before termination.

Termination does not eliminate payment obligations incurred before termination or provisions that reasonably survive termination.

13. Third-Party Services and Dependencies

JF WebDesign and BasalHub may rely on third-party providers for hosting, cloud storage, authentication, payment processing, analytics, artificial intelligence, email delivery, and social media integrations.

These services are operated independently.

JF WebDesign does not guarantee the uninterrupted availability, functionality, pricing, or continued support of third-party services.

Changes to third-party APIs, permissions, infrastructure, authentication systems, or terms may affect the availability of certain features.

We may modify or discontinue affected integrations when necessary.

14. Social Media Platform Compliance

Users must comply with the terms, policies, and applicable requirements of each social media platform connected to BasalHub.

JF WebDesign may restrict or disable functionality to comply with requirements imposed by Meta, Facebook, Instagram, X, TikTok, Google, or other third-party providers.

Third-party platforms may independently restrict, suspend, or terminate accounts.

JF WebDesign is not responsible for independent enforcement decisions made by those platforms.

15. Data Collection and Privacy

Our collection, use, processing, and disclosure of personal information are described in our Privacy Policy.

BasalHub may process information associated with connected third-party accounts as necessary to provide requested features.

Information may be processed by authorized service providers, including cloud infrastructure providers, social media platforms, and artificial intelligence service providers, as described in our Privacy Policy.

Users are responsible for ensuring that information submitted through our services is collected and used in accordance with applicable privacy and data-protection laws.

16. Account Disconnection and Data Deletion

Users may disconnect supported third-party accounts where that functionality is available.

Disconnecting an account may revoke or prevent future access to that account through BasalHub, subject to the third-party platform’s authorization and token-management systems.

Disconnection does not necessarily result in immediate deletion of all previously collected information.

Users may request deletion of eligible account information in accordance with our Privacy Policy and applicable data-deletion procedures.

Certain information may be retained when reasonably necessary for legal compliance, security, fraud prevention, billing, dispute resolution, backup systems, or legitimate business recordkeeping.

Requests involving Facebook, Instagram, or other Meta-connected data will be handled in accordance with applicable Meta platform requirements.

17. Security

JF WebDesign uses reasonable administrative, technical, and organizational safeguards intended to protect its systems and user information.

However, no online platform, website, network, storage system, or method of electronic transmission can be guaranteed to be completely secure.

Users are responsible for protecting their credentials, maintaining device security, and reporting suspected unauthorized account access.

JF WebDesign cannot guarantee that security incidents, unauthorized access, or data loss will never occur.

18. Service Availability and Maintenance

JF WebDesign may perform maintenance, updates, security improvements, infrastructure changes, or other activities necessary to operate its services.

Temporary interruptions may occur because of maintenance, technical failures, internet outages, infrastructure issues, or third-party service disruptions.

We do not guarantee continuous, uninterrupted, or error-free service availability.

Where reasonably practical, we may provide advance notice of planned interruptions that materially affect service availability.

19. No Guarantee of Business or Social Media Results

JF WebDesign and BasalHub do not guarantee specific business, marketing, website, or social media results.

This includes guarantees concerning:

Followers or audience growth
Social media impressions or reach
Engagement rates
Website traffic
Search engine rankings
Leads or customer inquiries
Sales or conversions
Revenue or profitability
Advertising performance
Campaign success

Performance may be influenced by factors outside our control, including audience behavior, competition, platform algorithms, market conditions, content quality, and third-party policies.

Analytics, projections, AI-generated recommendations, and other platform information are provided to assist decision-making and should not be interpreted as guaranteed outcomes.

20. Disclaimer of Warranties

To the fullest extent permitted by applicable law, JF WebDesign services and BasalHub are provided on an “as is” and “as available” basis.

JF WebDesign disclaims warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent such warranties may legally be disclaimed.

We do not warrant that our services will always be uninterrupted, error-free, secure, compatible with all third-party platforms, or free from defects.

Nothing in these Terms excludes or limits warranties or statutory rights that cannot legally be excluded.

21. Limitation of Liability

To the fullest extent permitted by applicable law, JF WebDesign will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of our services.

This includes loss of profits, revenue, data, business opportunities, goodwill, social media reach, or anticipated savings.

JF WebDesign is not responsible for losses caused by independent third-party platform actions, API changes, platform outages, unauthorized third-party account activity, or content published pursuant to a user’s authorization, except to the extent liability cannot legally be excluded.

To the fullest extent permitted by law, JF WebDesign’s total aggregate liability arising from a paid service will not exceed the amount paid by the affected customer to JF WebDesign for the applicable service during the 12 months immediately preceding the event giving rise to the claim.

These limitations apply only to the extent permitted by applicable law.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless JF WebDesign, its owner, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

Your unlawful use of our services
Your violation of these Terms
Your infringement of another party’s rights
User Content submitted or published through your account
Your unauthorized use of connected third-party accounts

This provision does not require indemnification for conduct or liability that cannot legally be shifted to you.

23. Feedback and Suggestions

If you provide ideas, suggestions, recommendations, or feedback regarding JF WebDesign or BasalHub, you grant JF WebDesign permission to use that feedback to improve its products and services without an obligation to compensate you.

This provision does not transfer ownership of your confidential business information, proprietary materials, or User Content.

24. Changes to These Terms

JF WebDesign may update these Terms periodically to reflect changes in services, technology, business operations, third-party requirements, or applicable law.

Updated Terms will display a revised “Last Updated” date.

Where required by law or where changes materially affect users’ rights, additional notice may be provided.

Continued use of the applicable services after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

25. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the services provided by JF WebDesign will be handled in the appropriate state or federal courts having jurisdiction in San Diego County, California, unless applicable law requires otherwise.

26. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

These Terms, together with our Privacy Policy and any applicable proposal, statement of work, subscription agreement, invoice terms, or other written agreement, constitute the applicable agreement between you and JF WebDesign regarding the services addressed by those documents.
